Mid-America Association for Computers in Education - MACE

ARTICLE I - Name

  1. The name of this organization shall be the Mid-America Association for Computers in Education, hereinafter referred to as MACE.
  2. MACE is a non-profit corporation with educational purposes as set forth by Internal Revenue Code 501C(3).

 

ARTICLE II - Purposes

The purposes of MACE shall be to...

  1. provide an association for sharing and exchanging ideas, techniques, materials and procedures for groups now using or planning to use technology in an educational environment,
  2. promote and encourage appropriate use of both hardware and software for the improvement of education,
  3. bring together for their mutual benefit, both operational and professional specialists concerned with the use of educational technology, and
  4. cooperate with manufacturers, distributors, and commercial operators of technological equipment in establishing and maintaining proper technical standards and in meeting new needs for specialized devices and systems.

 

ARTICLE III - Membership

  1. Membership in this organization shall be composed of those who have attended a MACE conference during the current fiscal year.

 

ARTICLE IV - Board of Directors

  1. The Board will be responsible for setting the course of action for MACE to be consistent with the established purposes, policies, and regulations.
  2. The Board of Directors shall have the authority to manage the affairs of MACE, including but not limited to the following:  approving expenditures of funds of MACE, and filling vacancies which may occur on the Board of Directors.
  3. The Board of Directors of MACE shall be composed of not fewer than five (5) nor more than nineteen (19) members.

    • five (5) Executive Board members: President, President-Elect, Secretary, Executive Director, and Past-President. The Secretary and the Executive Director will be appointed each year by the board.
    • not more than fourteen (14) board members. Each board member will serve a term of two (2) years.  Board member terms will be on a rotational basis with only half of the board being up for election in any one year.
  5. Officers and directors, with the exception of the Executive Director and a Webmaster, shall receive no remuneration for serving in such capacities. Compensation for the Executive Director and Webmaster shall be set by the Board of Directors of MACE.  Reimbursement for any expenses incurred in connection with their duties shall be as authorized by the Board of Directors.

 

ARTICLE V - Executive Board

  1. The Executive Board of MACE is composed of the...
    • President
    • President-Elect
    • Past President
    • Secretary
    • Executive Director
  2. The Executive Board has the authority to handle the business of MACE between meetings of the Board of Directors.
  3. The Board of Directors must approve recommendations of the Executive Board.

 

ARTICLE VI - Election of Officers and Directors

  1. Not less than thirty (30) days before the annual meeting, the Nominating Committee consisting of the Past-President as the chairperson and two (2) members of the Board appointed by the President shall nominate candidates for vacancies and offices of MACE.
  2. Not less than ten (10) days before the annual meeting, this committee shall submit to the Secretary of MACE names of at least one qualified candidate for each office and each vacancy among the directors, after having ascertained that each such candidate is willing to serve if elected.
  3. At the annual meeting, the Secretary shall notify the membership of the Nominating Committee report.
  4. Election will be by ballot at the annual meeting, with opportunity for nominations from the floor at that time. In the event of a tie for a place on the board of directors, a run-off election will be held.
  5. A vacancy may be declared to exist on the Board of Directors when a resignation is received or when a person fails to attend three consecutive meetings of the Board of Directors.

 

ARTICLE VII - Officers and their Duties

  1. The officers of the MACE Executive Board shall be...​​

    • President-Elect
    • Past President
    • Secretary
    • Executive Director
  2. No member of the MACE Board shall serve on the Executive Board until having completed two (2) years on the MACE Board of Directors.

 

The President shall...

  1. preside at all meetings of the Executive Board, Board of Directors and MACE,
  2. appoint committee chairs and committee members,
  3. represent MACE in matters of importance to MACE,
  4. authorize special expenditures of MACE for operation of MACE and in keeping with the actions of the Board of Directors and its budget,
  5. prepare agendas and communicate with the members of the board,
  6. extend appropriate courtesies to board members (i.e. death, illness, wedding, retirement, etc.).

 

The President-Elect shall...

  1. serve for the President when the President is unable to serve,
  2. shall automatically assume the office of President upon resignation of the President,
  3. complete the term of office of the resigned President and then serve the full year to which elected.

 

The Past-President shall...

  1. serve as President-Elect in the case of the President-Elect's inability to serve, until a new President-Elect can be elected by the membership,
  2. chair the Nominating Committee,
  3. move to the Board of Director's position formally held by the new President-Elect.

 

The Secretary shall...

  1. keep a record of the meetings of the Board of Directors, the Executive Board and MACE and see that actions of MACE requiring communication with members, other individuals, or groups are promptly carried out,
  2. receive the report of the Nominating Committee and prepare a ballot to be provided to the membership in accordance with the stipulations in Article VI,
  3. provide each board member with a copy of the minutes of each meeting,
  4. provide each member with a current copy of MACE’s Constitution upon request,
  5. maintain MACE’s official documents repository and maintain all official communications and/or historical records.

 

The Executive Director shall...

  1. establish the account(s) of the MACE, as approved by the Board of Directors.  The location of such account(s) shall be determined by the Board of Directors,
  2. establish procedures for the depositing of funds and the maintenance of MACE properties,
  3. receive and disburse all funds of MACE as authorized by the Board of Directors. Items contained in a Board-approved budget are automatically authorized for payment as funds are available,
  4. maintain a record of all financial transactions and report, as requested, to the Board of Directors and annually to MACE at the annual meeting,
  5. make the records available for audit prior to the annual meeting,
  6. make arrangements in cooperation with the President for meetings,
  7. assist the Board of Directors with their assigned duties,
  8. file appropriate forms with the IRS each year,
  9. file appropriate forms with the Kansas Secretary of State each year including, as necessary, the registered agent form.

 

ARTICLE VIII - Meetings

  1. The annual meeting will be held between February and June for the purpose of electing officers and directors, appointing the Secretary and Executive Director, and to conduct such business as may properly come before MACE.
  2. Officers and directors will take office at the beginning of the fiscal year following their election.
  3. The quorum at a meeting of the membership shall be a majority of the Board of Directors.

 

ARTICLE IX - Fiscal Year

  1. The fiscal year of MACE will be July 1 through June 30.

 

ARTICLE X - Parliamentary Authority

  1. General parliamentary procedures will be followed when conducting business meetings.

 

ARTICLE XI - Amendments to the MACE Constitution

  1. All proposed changes to the Constitution must be presented in writing to the Board not less than thirty (30) days prior to the meeting.
  2. This Constitution may be amended by a two-thirds majority vote of members eligible to vote and attending a regularly or specially called meeting of MACE, provided that notice of the proposed changes has been provided to the membership not less than thirty (30) days prior to the meeting.
